1. Acceptance of Terms
By accessing or using AssociateSafe ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.
AssociateSafe is operated by AssociateSafe ("Company", "we", "us", or "our"). These Terms govern your access to and use of our website and services.
2. Description of Service
AssociateSafe is a personal financial tracking and analytics platform designed for dental professionals, including dental associates. The Service allows you to:
- Track production, payments, and expenses
- Generate financial reports and analytics
- Upload and store financial documents
- Manage clinic-related financial data
AssociateSafe is NOT a healthcare service and does not provide medical or dental care. It is solely a personal finance management tool.
3. Account Registration and Security
To use certain features of the Service, you must register for an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information
- Maintain the security of your password and accept all risks of unauthorized access
- Immediately notify us if you discover or suspect any security breaches
You are responsible for all activities that occur under your account.
4. User Responsibilities and Health Information
⚠️ Important: Protected Health Information (PHI)
You acknowledge and agree that you are solely responsible for ensuring that any documents or data you upload to AssociateSafe do NOT contain Protected Health Information (PHI), including but not limited to patient names, phone numbers, addresses, social security numbers, or any other individually identifiable health information.
By using this Service, you represent and warrant that:
- You will NOT upload PHI: You will redact or remove all patient information and other PHI from any documents before uploading them to the Service
- You understand AssociateSafe is not HIPAA-compliant: AssociateSafe is not a Covered Entity or Business Associate under HIPAA. The Service is designed for personal financial tracking purposes only
- You accept full responsibility: You are solely responsible for any PHI that you upload, and you agree to indemnify and hold harmless AssociateSafe from any claims arising from your failure to properly redact such information
5. Acceptable Use Policy
You agree NOT to use the Service to:
- Violate any applicable local, state, national, or international law or regulation
- Upload, transmit, or store any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
- Attempt to gain unauthorized access to the Service, other accounts, or computer systems or networks connected to the Service
- Interfere with or disrupt the Service or servers or networks connected to the Service
- Upload viruses, malware, or other malicious code
- Collect or store personal data about other users without their consent
- Use the Service for any commercial purpose without our prior written consent
- Attempt to reverse engineer, decompile, or disassemble any portion of the Service
6. Intellectual Property
Our Intellectual Property: The Service and its original content, features, and functionality are owned by AssociateSafe and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.
Your Data: You retain all rights to the data and content you upload to the Service. By uploading content, you grant us a limited license to store, process, and display that content solely for the purpose of providing the Service to you.
7. Payment Terms
Certain features of the Service may require payment. If you purchase a paid subscription:
- You agree to pay all fees associated with your subscription plan
- Fees are billed in advance on a monthly or annual basis
- All fees are non-refundable except as required by law
- We may change our fees with 30 days' notice
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL ASSOCIATESAFE, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
- Your access to or use of or inability to access or use the Service
- Any conduct or content of any third party on the Service
- Any content obtained from the Service
- Unauthorized access, use, or alteration of your transmissions or content
- Errors in calculations, reports, or data presented by the Service
In no event shall our total liability exceed the amount you paid us in the twelve (12) months prior to the claim, or $100, whichever is greater.
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.
AssociateSafe does not warrant that:
- The Service will function uninterrupted, secure, or available at any time or location
- Any errors or defects will be corrected
- The Service is free of viruses or other harmful components
- The results of using the Service will meet your requirements
- Financial calculations or projections are accurate or suitable for any purpose
The Service is not intended to provide financial, tax, or legal advice. You should consult with qualified professionals for such advice.
10. Indemnification
You agree to defend, indemnify, and hold harmless AssociateSafe and its licensees and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of:
- Your use and access of the Service
- Your violation of any term of these Terms
- Your violation of any third-party right, including without limitation any copyright, property, or privacy right
- Your upload of Protected Health Information or other sensitive data
- Any claim that content you uploaded caused damage to a third party
11. Termination
We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.
Upon termination, your right to use the Service will immediately cease. You may request a copy of your data within 30 days of termination. After 30 days, we may delete all data associated with your account.
You may terminate your account at any time by contacting us or using the account deletion feature in the Service settings.
12. Dispute Resolution
Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.
Informal Resolution: Before filing a claim against AssociateSafe, you agree to try to resolve the dispute informally by contacting us. We'll try to resolve the dispute by contacting you via email.
Arbitration: Any disputes arising out of or relating to these Terms or the Service shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in California, USA, unless you and AssociateSafe agree otherwise.
Class Action Waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.
13. Changes to Terms
We reserve the right to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect.
What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
14. Severability
If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.
15. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and AssociateSafe regarding the use of the Service, and supersede all prior and contemporaneous written or oral agreements between you and AssociateSafe.
